Support Documentation for the CO₂ hub

the CO₂ hub ('the hub') is an online marketplace created to facilitate the sale and purchase of carbon dioxide and related purification, compression, storage and transportation services.

This document is designed to familiarize potential Users of the CO₂ hub with the definitions used throughout the website, general use of the CO₂ hub, system requirements, site navigation, and the registration process.

Definitions

"Active Trading" means the timeframe from the Posting of an Event to the closing date specified by the Host.

"Auxiliary Services" mean such services as purification, compression, storage and transportation.

"Bid" means a response to a (Product or Service) Posting placed on the Market Floor.

"Bidder" means a User who responds to a (Product or Service) Posting placed on the Market Floor by a Host.

"Carbon Dioxide" and "CO₂" refers to pure carbon dioxide and/or other commodities containing carbon dioxide, such as flue gas, that can be transported either to storage or market.

"Event" refers to an on-line auction on the CO₂ hub Market Floor.

"Extenuating Circumstances" include, but are not limited to, the sale of a company (during the Active Trading period specified), the cancellation of the project to which the product and/or services were applicable, or a change in pertinent regulations.

"Firm Specifications" are those characteristics of a product or Auxiliary Service as stated in a Posting placed on the Market Floor by a Host which, if met by a Bidder(s), results in a Transaction; the characteristics so defined as Firm Specifications for the various auction types are: Buyer request for CO₂ - volume, purity, contract terms (estimated start and end dates) and delivered price; Seller offering CO₂ for sale - volume, contract terms and reference price; Host request for Auxiliary Services - all information entered on a request information form which is contained in the CO₂ hub Website.

"Forward Auction" means an Event posted where the Host is a seller of CO₂.

"Host" means a User who initiates an on-line Event as either a buyer or seller of CO₂ or as a buyer of purification, compression, storage or transportation services.

"Key Contact" means an individual designated by a company with whom the CO₂ hub conducts formal communications and who is responsible for authorizing other individuals (traders) within their company to participate in buy/sell Transactions on its behalf and for ensuring that all traders so authorized read the Agreement.

"Market Floor" means the CO₂ hub Market Floor, which implies the infrastructure allowing Users to participate in the on-line trading of CO₂ and Auxiliary Services.

"Posting" means the placing of a request for CO₂ or Auxiliary Services or the offering of CO₂ for sale on the Market Floor.

"Product Posting" means a Posting, initiated by a Host either requesting to purchase CO₂ or offering supplies of CO₂.

"Proprietary Properties" include, but are not limited to, the configurations, displays, screens, software, code, algorithms, scripts, inventions, trade secrets, images, graphics, text and all other information appearing on, displayed in connection with or contained on the CO₂ hub Network and not provided by the User, the CO₂ hub domain name(s), the CO₂ hub logo(s); the CO₂ hub registered and unregistered trademarks and trade names.

"Reverse Auction" means an Event posted where the Host is a buyer of CO₂.

"Service Posting" means a Posting, initiated by a Host requesting Auxiliary Services.

"the CO₂ hub Network" means the infrastructure including the CO₂ hub, the CO₂ hub Website, the CO₂ hub Market Floor, and the CO₂ hub hardware and software owned or controlled by the CO₂ hub that transmits the Transaction Data to and from the translation server and enables all procedures described herein.

"the CO₂ hub Website" means the website located at www.theCO2hub.com on the World Wide Web portion of the Internet or any successor site.

"Trading Partner" means a Host or Bidder with whom a User exchanges Transaction Data via the CO₂ hub Network.

"Transaction" means the acceptance of a bid or partial bid.

"Transaction Clearing Services" means the receipt and transmission of Transaction Data through the Market Floor as provided and supported by the CO₂ hub.

"Transaction Data" means data transmitted through the CO₂ hub by Users using the translation server and related to Transactions involving products and services between and among Users participating on the CO₂ hub.

"Translation Server" means the CO₂ hub web interface, any CO₂ Hub software and/or any third party software enabling the exchange of Transaction Data with the CO₂ hub as part of the Transaction Clearing Services and any related Value-added Services.

"User" means a company/individual that becomes registered with the CO₂ hub by completing the prescribed registration process and is thereby granted the right to participate in the Market Floor for the purpose of selling or buying CO₂ and/or Auxiliary Services.

Use of the CO₂ hub

Any company wishing to use the services provided by the CO₂ hub must endorse a 'Key Contact' person who is assigned:

• the right to indicate what 'Company Market Floor Role(s)' would be available to approved User(s);
• the power to authorize individuals (traders) from their company to register as 'Users' of the services provided on the hub and to participate in buy/sell transactions on the company's behalf;
• the obligation to ensure that all of their company's Users have read and have agreed to abide by The CO2 Hub Agreement;
• the right to provide the corporate password to each of the company personnel he/she indicates has been approved by their company to become registered Users on the hub; and
• the right to assume the role of a User.

A 'User' is an individual who has been approved by their company's Key Contact to participate in the Market Floor services as:

• a Host - posting offers to buy or to sell CO₂, or to purchase Auxiliary Services; or
• a Bidder - bidding to buy CO₂ being offered for sale, bidding to supply CO₂ being requested, or bidding to provide Auxiliary Services being requested.

'Market Floor Role(s)' that can be assigned by the Key Contact for approval by the CO₂ hub administration include:

• CO₂ Buyer
• CO₂ Supplier
• CO₂ Purifier
• CO₂ Compressor
• CO₂ Storage Provider
• CO₂ Transporter
• Emissions Credit Trader
  (NOTE: Emissions Credit Trading will be available upon the hub pending the finalization of global trading protocols)

During any specific 'Auction Event', a User can only be a buyer of CO₂, a supplier of CO₂, or a provider of (one or more) auxiliary services.

'Auxiliary Services' mean such services as purification, compression, storage and transportation.

System Requirements

the CO₂ hub website was designed and optimized for systems with the following specifications:

• 400Mhz + processor
• Internet Explorer 5.0 and above
• 800 x 600 screen resolution
• Javascript enabled on the browser
• Cookies allowed on the browser
• Broadband internet connection

NOTE: Other current browsers may be used, however, unexpected results may occur

Site Navigation

1. To move forward between text boxes, either hit the Tab key, or use your mouse. To move backward between text boxes, either hit Shift-Tab, or use your mouse.

Registration

To become the Key Contact, one must complete the Corporate Registration form found at www.theco2hub.com/register_c.aspx; To become a User, one must complete the User Registration form found at www.theco2hub.com/register_u.aspx; There is no cost associated with registration.

Steps to Corporate Registration

1. Go to www.theco2hub.com. (Alternatively, you may go directly to the Corporate Registration site by following this link http://www.theco2hub.com/register_c.aspx)
   
   
2. Press the Register button. This will take you to the logon screen for users of those corporations that are already registered with the CO₂ hub as in the following illustration:
   
   
   
3. Press the Other button. This will take you to the Corporate Registration area.
   
   
4. Fill in the requested corporate and individual Key Contact information on this form.
   
   NOTE: Corporations trading on the CO₂ hub are restricted to certain combinations of concurrent roles. Any individual corporation may only be a:
   
   
   1. Buyer
   2. Supplier
   3. Buyer and Supplier
   4. One or any combination of Auxiliary Service Providers (i.e., One or any combination of a Compressor, Purifier, Transporter, or Storage Provider)
   
   NOTE (2): Canadian Users are requested to provide their (federal) Registered Business Number; for U.S. Users, the equivalent is the (federal) Tax ID Number.
   
   
5. Click the Submit button. This will forward you to the Agreement.
   
   
6. Read the Agreement and acknowledge that your Company and all approved Users within your Company will abide by the Agreement by clicking the Accept button found at the end of the Agreement.
   
   
7. The Key Contact will receive email confirmation of their corporate registration status within five business days.

Steps to Registering as a User of the Market Floor

NOTE: To register as a User, an individual must belong to a previously approved company, have been issued the corporation's business number and corporate password by their Key Contact, and have read the Agreement and acknowledged to abide by its contents.

1. Go to www.theco2hub.com
   
   
2. Pressing the Register button will direct you to www.theco2hub.com/register_u.aspx. This will take you to the logon screen for users of those corporations that are already registered with the CO₂ hub.
   
   
3. Enter the Registered Business Number (Canadian) or Tax ID Number (U.S.) and the Corporate Password and click the Register button.
   
   
4. This will take you to the User Registration area.
   
   
5. Fill in the requested user information on this form.
   
   
6. Click the Submit button. This will forward you to the Agreement.
   
   
7. Read the Agreement and acknowledge that you will abide by the Agreement by clicking the Accept button found at the end of the Agreement. This will send your information to the Key Contact within your company for verification.
   
   
8. The approval process will then be completed by your Key Contact.
